Buyer Registration Terms

What You Agree To When You Register For Listing Alerts

1. What Registration Is

By registering as a buyer with Practice Succession Canada (“PSC”, “we”) you ask us to tell you about accounting, tax and bookkeeping practices for sale that match the criteria you give us, and to contact you about them. Registration is free. It does not create an agency, fiduciary or exclusive relationship between you and PSC, and it does not oblige you to buy anything or oblige us to offer you anything.

2. Who We Act For

PSC acts for the sellers of the practices we list, who pay our fee. We do not act for you. Information we give you comes from the seller and we do not verify it. You are responsible for your own due diligence and should obtain independent legal, tax and accounting advice before any transaction.

3. Alerts And Communications

We will email you listing alerts and related messages at the address you provide. These are commercial electronic messages under Canada’s Anti-Spam Legislation; by registering you give express consent to receive them. You can withdraw consent at any time using the unsubscribe link in any message or by emailing info@practicesuccessioncanada.ca, and we will stop within 10 business days.

We may also phone you at the number you provide to confirm your criteria and to discuss listings. Alerts are sent when a match is listed. We do not promise any number or frequency of alerts, and we may stop sending them if your registration is inactive or incomplete.

4. Confidentiality Of Listing Information

Listing alerts and blind profiles are confidential to you. Do not forward them, post them or use them to identify or approach a practice, its owner, clients or staff.

Full practice profiles, financial statements and identifying details are released only after you sign PSC’s Buyer Confidentiality And Non-Circumvention Agreement for that listing. Those terms govern any information released under them.

If you learn the identity of a listed practice by any means, you will not contact the owner, clients or staff except through PSC.

5. Non-Circumvention

If you complete a purchase, buy-in or other transaction with a seller that PSC introduced to you, whether directly or through a related party, within 24 months of the introduction, you agree that PSC is entitled to the fee it would have received on that transaction and that you will not assist the seller in avoiding it.

6. Your Information

You confirm the information you give us is accurate and that you are a person, or represent a firm, genuinely considering the purchase of a practice. We may decline or remove a registration at our discretion, for example where we believe the registrant is a competitor gathering intelligence, a lender or recruiter without a purchase intention, or not permitted to own the practice concerned.

Your personal information is handled as described in our Privacy Policy. In summary: we keep your name, contact details, designation, criteria and our communications with you to match you with practices and to meet our legal obligations; we share your identity with a seller only when you ask to proceed on a listing; we do not sell your information.

7. No Advice, No Warranty

Nothing on our website or in our alerts is legal, tax, accounting, investment or valuation advice. Valuation ranges, calculator results and multiples are illustrative. Listings may be withdrawn, changed or sold at any time without notice. We make no warranty that any practice is suitable for you or that any transaction will proceed.

8. Liability

To the extent permitted by law, PSC is not liable to you for any loss arising from your registration, from any alert or listing, or from any transaction or failed transaction, and in any event PSC’s total liability to you is limited to one hundred dollars.

9. Changes And Termination

We may update these terms by posting a new version on the website with a new date. Continued registration after the change is acceptance. You may cancel your registration at any time by emailing info@practicesuccessioncanada.ca.

10. Governing Law And Contact

These terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, and form part of our Terms Of Use. Questions: info@practicesuccessioncanada.ca.
